nFleXion Capital Partners is a private investment firm that provides financing solutions to select companies in the financial and business services sector. Our financing solutions span the capital structure and are designed to facilitate employee equitization, equity exchanges between employees, employee shareholder liquidity, acquisitions, and co-investor liquidity.
nFleXion invests mainly in the wealth management and wealth tech sectors, with a particular focus on independent and financial sponsor/private equity-backed RIAs.
nFleXion’s core offering is the Aligned Single Asset Secondary (ASAS) — a proprietary structure that enables employee shareholders to borrow against their shares in their employer to purchase additional shares or obtain liquidity, much like a margin loan.
Unlike traditional bank financing solutions, nFleXion’s ASAS doesn’t require a personal or corporate guarantee, and is a PIK security – that is, it has no cash interest or principal payments over the life of the loan. Because an ASAS is off-balance sheet, it allows companies to maintain financial flexibility while optimizing employee ownership.
